2. Eligibility

To use NG QRCode, you must:

3. Service Description

NG QRCode is an AI-powered Software as a Service (SaaS) platform that allows users to generate, customize, and track dynamic QR codes. Key features include:

• • Dynamic QR codes with editable destinations
• • Analytics dashboard tracking scans and user behavior
• • Multiple download formats (SVG, PNG, WebP)
• • Team collaboration and collection management
• • Subscription-based plans (Starter and Pro tiers)

4. User Accounts

When you create an account with NG QRCode, you are responsible for:

• • Maintaining the confidentiality of your password and account information
• • All activities that occur under your account
• • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these terms or engage in unauthorized or illegal activity.

5. Subscription & Billing

5.1 Plans & Pricing

NG QRCode offers tiered subscription plans (Starter and Pro). Pricing and generation limits are detailed on our Pricing Page.

5.2 Recurring Billing

Subscriptions renew automatically on the same date each month or year, depending on your chosen billing cycle. You will be charged automatically via the payment method on file.

5.3 Cancellation Policy

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing cycle. No refunds are provided for the current billing period.

5.4 Billing Disputes

If you dispute a charge, contact us immediately at hello@ngqrcode.com with supporting documentation.

6. Acceptable Use Policy

You agree not to use NG QRCode for any illegal, abusive, or harmful purpose. Prohibited uses include:

• • Creating QR codes that link to illegal content, malware, phishing sites, or adult content
• • Using QR codes for fraud, spam, or deceptive marketing
• • Attempting to reverse-engineer, hack, or exploit the Service
• • Mass-generating QR codes beyond your subscription limits or for resale
• • Using the Service to harvest or scrape user data
• • Creating excessive load on our servers through automated requests

Violations of this policy may result in immediate suspension or termination of your account without refund.

7. Content Ownership & Intellectual Property

7.1 Our IP

All content, code, design, and features of NG QRCode are owned by KP Innovations Private Limited. You are granted a limited, non-transferable, revocable license to use the Service.

7.2 Your QR Code Content

You retain ownership of the QR codes and content you create. By uploading content to NG QRCode, you grant us a license to store, process, and display your content for the purpose of providing the Service.

8. Disclaimer of Warranties

NG QRCode is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding:

• • Uninterrupted or error-free operation of the Service
• • Fitness for a particular purpose
• • Quality, accuracy, or reliability of content generated
• • Security or privacy of your data

We are not liable for data loss, service interruptions, or third-party actions (such as QR code misuse by scan recipients).

9. Limitation of Liability

To the fullest extent permitted by Indian law, KP Innovations Private Limited shall not be liable for:

• • Indirect, incidental, or consequential damages
• • Lost profits or business interruption
• • Data loss or corruption

Maximum liability: Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim, or ₹500, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless NG QRCode, its operators, and employees from any claims, damages, or legal costs arising from:

• • Your violation of these Terms of Service
• • Illegal content or QR destinations you create
• • Your misuse of the Service
• • Your violation of third-party rights

11. Termination

We reserve the right to terminate or suspend your account at any time, with or without cause, including:

• • Violation of these Terms
• • Suspected fraud or illegal activity
• • Non-payment of subscription fees
• • Business discontinuation

Upon termination, your account and all associated data may be deleted. We are not liable for loss of data due to account termination.

12. Governing Law & Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any legal action or proceeding related to these Terms shall be exclusively subject to the jurisdiction of the courts of Mumbai, India.

By using NG QRCode, you expressly consent to the jurisdiction and venue of these courts.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Modifications to Terms

We may modify these Terms at any time. Changes become effective immediately upon posting to the Service. Continued use of NG QRCode after changes indicates your acceptance of the modified Terms.
